British American Tobacco Kenya (BAT Kenya) has announced leadership changes following the resignation of its Company Secretary, Waeni Ngea.
Waeni Ngea Steps Down
In a notice dated November 28, BAT Kenya confirmed that Waeni Ngea will resign as company secretary effective December 31, 2025.
“The Board of Directors of British American Tobacco Kenya p.l.c. (BAT Kenya, the Company) announces the resignation of Ms. Waeni Ngea as the Company Secretary with effect from 31 December 2025,” read part of the statement.

Ngea rejoined BAT in October 2023 as Head of Legal & Compliance for BAT East & Southern Africa markets, where she played a pivotal role in:
- Managing legal risks
- Strengthening corporate governance
- Supporting the Board’s mandate
She holds a Bachelor of Laws (LL.B) from the University of Nairobi and a Diploma in Law from the Kenya School of Law. Ngea is also a member of the Law Society of Kenya and the Institute of Certified Secretaries of Kenya and serves as a council member of the Association of Retirement Benefits Schemes (ARBS).
Kathryne Maundu Appointed Company Secretary
Following Ngea’s departure, BAT Kenya has appointed Kathryne Kamene Maundu as outsourced company secretary, effective January 1, 2026.
Maundu recently resigned as company secretary at NCBA Group PLC, a role she held until October 1, 2025. She is no stranger to BAT Kenya, having previously served as company secretary for BAT Kenya and its subsidiary between July 2020 and October 2023.

Maundu brings nearly two decades of experience in law, governance, and corporate advisory across East Africa. Key milestones in her career include:
- Advocate of the High Court of Kenya and Certified Public Secretary
- 15 years at Deloitte in Kenya, Tanzania, and Uganda, rising to senior manager
- Advising multinationals and listed companies on compliance, restructuring, and governance frameworks
- Cutting Deloitte Tanzania’s debtor collection cycle from over a year to just one month
- Securing Stanbic Bank Uganda as a major client, generating annual revenues of USD 50,000
- Partner at Stamford Corporate Services LLP (Bowman’s affiliate) in Nairobi since 2019
- Facilitating leadership transitions for Safaricom, BAT, and EABL, ensuring smooth regulatory approvals
Her leadership and influence earned her recognition among Kenya’s Top 40 Under 40 Women.
